Umios Corporation, formerly Maruha Nichiro Corporation, has announced that it will absorb the aquaculture and processed foods businesses of its subsidiary Taiyo A&F (TAFCO) through a simplified absorption-type company split.
As this is an internal group reorganization, shareholder approval is not required, and the transaction will take effect on October 1, 2026. TAFCO's business activities are highly complementary to Umios' existing operations and are expected to create operational and commercial synergies.
These activities include the farming of Pacific bluefin tuna, and the integration will enable the company to develop a broader product portfolio, strengthening its commercial strategy. In addition, operational efficiency will be enhanced through greater workforce mobility and the standardization of business processes.
Moreover, TAFCO produces seasonings and plant- and marine-based extracts, including salmon flakes, whose technology underwent an upgrade, expanding their presence in additional international markets while benefiting from the Umios Group's production infrastructure.
Finally, the subsidiary will focus its operations exclusively on its fisheries business, adding new vessels and further strengthening its sustainable fishing practices. From a financial and corporate perspective, the transaction will be carried out without consideration and will not result in any changes to Umios' share capital.
This reorganization is aligned with the company's strategy of providing "sustainably sourced marine protein" while "strengthening its competitiveness and long-term value creation," the company said in a statement.
